Frequently Asked Regulatory & Compliance Questions

Authoritative insights structured for executive boards, corporate proprietors, and regulatory compliance

1

Why is a DCF valuation report mandatory under Income Tax Rule 11UA?

Section 56(2)(viib) of the Income-tax Act, 1961 (the 'angel tax') taxed share premium received above fair market value by closely held companies. The Finance (No. 2) Act, 2024 abolished it for share issues made on or after 1 April 2025, and the Income-tax Act, 2025 has no equivalent. A Rule 11UA / DCF valuation report is still needed to price shares issued to non-residents under FEMA, for ESOPs and restructuring, and to defend any pending assessment on share issues made before 1 April 2025.
Key Takeaway: Angel tax is gone for new share issues, but a Rule 11UA DCF report is still required for FEMA pricing and for defending pre-April 2025 assessments.
2

What is the scope of Buy-Side Financial Due Diligence (FDD) conducted by Kinsmen?

Kinsmen's Buy-Side Financial Due Diligence rigorously examines: (1) Quality of Earnings (QoE) through EBITDA normalizations, (2) Net debt and working capital adjustments (peg analysis), (3) Undisclosed contingent tax liabilities across direct and indirect taxes, (4) Related-party transaction arms-length pricing, and (5) Customer churn risk.
Key Takeaway: A thorough FDD dossier prevents buyers from overpaying or inheriting hidden tax liabilities.
